NEWS Conclusion of significant contract. Rzeszów 2009.10.15 The Management Board informs that on 22.05.2009 it signed a contract with P.A. NOVA S.A., however it has not published his information because there were no rationale of significant contract criterion. The subject of the contract was performance of construction works by RESBUD S.A. within the framework of investment task called: ”Construction of service and shopping centre in Stalowa Wola at KEN/Ofiar Katynia Street”, net value of the contract was PLN 974,510.55. Annex no. 1/2009 to the contract changes the scope of contract subject extending it by additional works which have been described in details in the annex; it also changes total value of the contract as follows: a) for the previous scope of works a net lump-sum remuneration in the amount of PLN 869,678.70, b) for additional works a net lump-sum remuneration in the amount of PLN 498,427.07. Total value of the contract is PLN 1,368,105.77 and it exceeds the criterion of significant contract i.e. 10 % of the equity of the Company according to the balance sheet published for the first half of 2009. Establishing of subsidiary and taking up shares in this entity. Rzeszów 2009.09.17 The Management Board of RESBUD S.A. informs that on 17 September 2009 it received Decision of the District Court in Rzeszów XII Economic Department of the National Court Register, dated 16.09.2009, pursuant to which a limited liability company called TRANSRES Sp. z o.o. had been entered into the National Court Register – Register of Entrepreneurs.
The Company’s seat is Rzeszów. The Company will continue in operational existence for the unspecified time. New Company had been established in order to conduct business activities, particularly within the range of transport services and services performed with construction equipment. Share capital of the Company is PLN 100,000.00 and is divided into 200 shares with nominal value of PLN 500 each. 100% of shares took up RESBUD S.A. with its seat in Rzeszów covering it by cash contribution. The shares which had been taken up equal 100 % of share capital of the new Company and give right to the same number of votes at the Annual General Meeting of the Company. The shares which had been taken up shall be recognized in books of the Company at their nominal value. Conclusion of significant contract with Specialist Hospital in Brzozów Rzeszów 2009.09.14 The Management Board of RESBUD S.A. informs that on 14 September 2009 it signed a contract with Specialist Hospital in Brzozów Podkarpacki Oncological Centre named after Ks. Bronisław Markiewicz as Investor. RESBUD S.A. acts in this contract as Contractor.
The subject of the contract is extension, superstructure and rebuilding of the Surgical Suite Building of the Specialist Hospital in Brzozów.
For the performance of the contract the Contractor shall receive gross remuneration of PLN 5,350,792.85. The parties set the works completion date for 31.05.2010.
Contractual fines:
The parties agreed that the fine for withdrawal from the contract by the Employer or by the Contractor shall be 10 % of gross contract value.
The Management Board of RESBUD S.A. informs that value of the contract exceeds the criterion of significant contract i.e. 10 % of the equity of the Company according to the balance sheet published for the first half of 2009.
